Profile
Bernard Pinsky is a partner of Clark Wilson LLP and the Chair of its Corporate Finance/Securities and US Law Practice Groups.
In 1998, Mr. Pinsky spearheaded the Corporate Finance/Securities department's initiative to qualify three lawyers as California attorneys so as to offer Clark Wilson LLP's clients better access to US financial markets. The initiative culminated when the three were called to the California bar on November 1, 1999. Clark Wilson LLP has since hired lawyers with considerable US experience to practice in its Vancouver office.
Mr. Pinsky has advised a variety of public and private companies on legal matters related to acquisitions, mergers, takeovers, initial public offerings, secondary financings, cross-border financings, public company disclosure requirements and stock exchange practice. His clients include companies which trade on Canadian and United States Stock Exchanges, the OTC Bulletin Board and NASDAQ.
In recent years, Mr. Pinsky's practice has focused on the involvement of US and other foreign businesses in Canadian public markets, and sourcing financing from the US or overseas on Canadian companies listing on US exchanges.
His publications include: 2002: Directors' Duties in British Columbia; 1992: Raising Capital Across the Border ; 1992: Insight Press, Settlement Agreements in Public Shareholder Disputes ; 1989: Directors' Liabilities ; and 1987: The Legal Aspects of Going Public . Mr. Pinsky also edits and writes extensively for Clark Wilson LLP's in-house publication, Securities Law Bulletin .
Mr. Pinsky obtained his Bachelor of Laws (Honours) degree from the University of Manitoba in 1978.
